Terms and Conditions
OVS offers the services provided herein to You, the User, based on Your agreement to the following terms without any modification. By registering with OVS as a customer and checking the “I Agree” box, You agree to be bound by the following terms and conditions (“Terms and Conditions”). These Terms and Conditions are subject to change at any time. OVS will post any changes to these Terms and Conditions on the vendor login page. Changes will not apply retroactively and will become effective 14 days after they are posted, or upon your checking the “I Agree” box associated with such updated Terms and Conditions, whichever is earlier.
These Terms and Conditions shall be effective as of the date and time you check the “I Agree” box (the “Effective Date”). These Terms and Conditions and any subsequent amendments shall thereafter continue for as long as you are registered for any OVS remote services.
Certain Support Services may be provided remotely via telephone or electronic communications via the internet using tools like TeamViewer. Owner agrees that OVS representatives may access Owner’s systems during the support term, using TeamViewer Software. If a network connection between OVS and Owner’s systems is required for OV Solutions to perform the Support Services, Owner will provide such access as follows: Owner is responsible for ensuring that (a) its network and systems comply with specifications provided by OVS; (b) components of Owner’s VMS are accessible through standard internet connection unless otherwise agreed on secure network; and (c) Owner is responsible for acquiring and maintaining any equipment and performing any activities necessary to set-up and maintain network connectivity. OVS is not responsible for network connection issues, problems or conditions arising from or related to network connections, such as bandwidth issues, excessive latency, network outages, and/or any other conditions that are caused by an internet service provider, or the network connection. If Owner’s VPN client software and/or VPN infrastructure fails to allow OVS access to perform Support Services, Owner agrees to pay for any increased costs resulting from such failure. Owner accepts that OVS and sometimes Partner will remote in and perform these actions which will result in OVS or Partner controlling the NVR, VMS and if required the Remote Clients. Owner has the option to ‘pause’ TeamViewer software, and only restart when the Owner request support services.
The standard remote support connection is via TeamViewer. Though TeamViewer is the preferred connection for remote support, OVS can accommodate most other remote support connection methods, and these will be considered on a case-by-case basis and accepted at OVS’s sole option.
At times OVS Partners may need to remote in also to assist OVS. If an onsite visit by Partner is required, an estimate will be provided by the Partner to the Owner.
Registration and Payment
You agree that upon the date which is one (1) year after your initial registration for OVS Remote Services and every one (1) year period thereafter (each, an “Anniversary Date”), your registration will automatically renew and You will pay the Annual Registration Fee on each Anniversary Date, unless and until you provide OVS with thirty (30) days prior written notice of your desire to terminate your registration at email@example.com. If You have provided your credit card information, You hereby authorize OV Solutions Inc. to charge your credit card for the Annual Registration Fee and to charge the Annual Registration Fee to such credit card automatically three days prior to each Anniversary Date. If OVS does not automatically charge your credit card, you agree to pay the Annual Registration Fee within thirty (30) days of receipt of a renewal notice. OVS may change the Annual Registration Fee at any time prior to the Anniversary Date upon notice to You.
Representations and Warranties
You hereby represent and warrant that: You have all necessary authority, rights and permissions to submit a binding contract and are not a person barred from receiving any OVS services or products under the laws of the United States or other applicable jurisdiction.
You agree to indemnify and hold OV Solutions, Inc., and each of their officers, directors, employees, agents, and contractors harmless from and against any and all claims, costs, demands, damages, liabilities, or expenses, including, without limitation, reasonable attorneys’ fees, arising from or related to: lost data due to services being performed, including but not limited to lost video recording, system settings and software configurations. OVS will work with the Owner to confirm any updates that might result with loss of video or and decide on the best time to perform such functions. Owner will hold harmless OVS and Partner from any recording downtime due to support services performed such as but not limited to system maintenance and updating and any hardware failures fall under the original factory warranty.
Use of third party services
As a part of our service, OVS may offer links to web sites operated by various third parties. You agree that OVS is not responsible or liable for any acts or omissions created or performed by these third parties. OVS provides such links for your convenience and reference only. OVS does not operate or control in any way any information, software, products or services available on such web sites.
OVS reserves the right with notice to You at any time to change, modify or discontinue any service or a portion or attribute thereof, or the offering of any information, good, content, product or service.
